Terms and Conditions

Effective Date: 14 April 2010
Last Updated: 20 October 2026

Welcome to YOGA’S IT Solutions (YITS). These Terms and Conditions govern the provision and use of our website, products, and services, including web hosting, domain registration, website development, and other digital solutions.

Please read these terms carefully before purchasing or using our services. By placing an order, creating an account, or entering into a service agreement with us, you agree to be bound by the applicable terms and conditions.

1. General Terms and Conditions

These Terms and Conditions, together with any applicable service-specific terms, quotations, service agreements, and Acceptable Use Policy, form the agreement between you and YOGA’S IT Solutions.

If a service-specific agreement conflicts with these general terms, the service-specific agreement will prevail to the extent of the conflict.

By engaging our services, you confirm that you are legally capable of entering into a binding agreement or are duly authorised to act on behalf of a business or organisation.

You agree to comply with applicable laws, regulations, and the terms relevant to the services you purchase.

2. Age and Eligibility

You must be at least 18 years old to independently enter into a service agreement with YITS, unless applicable law permits otherwise.

If you act on behalf of a company or another organisation, you confirm that you have the authority to enter into the agreement on its behalf.

3. Definitions

For the purposes of these Terms and Conditions:

  • Company, We, Us, or Our: Refers to YOGA’S IT Solutions.
  • Customer, Client, You, or Your: Refers to the individual, business, or organisation purchasing or using our services.
  • Services: Refers to the products, solutions, and services supplied by YITS.
  • Order: Refers to a request submitted by a customer for the provision of services.
  • Agreement: Refers to these Terms and Conditions together with applicable quotations, service-specific terms, and other agreed documents.
  • Domain Name: Refers to an internet address registered through an authorised domain registrar.
  • Billing Period: Refers to the period for which a service is purchased or renewed.

4. Commencement of Agreement

An agreement for a particular service commences when we confirm acceptance of your order in writing or otherwise establish the agreement through a legally recognised method.

Project commencement may be subject to receipt of the required payment, information, approvals, and materials.

We reserve the right to decline an order where reasonably necessary, subject to applicable law and any existing contractual obligations.

5. Supply of Services

We will provide the services described in the applicable quotation, package description, invoice, or service agreement.

We will make reasonable efforts to deliver services within the agreed timelines. If circumstances arise that may delay delivery, we will endeavour to inform you and communicate any necessary changes.

Service delivery may depend on client cooperation, third-party providers, technical requirements, and other circumstances outside our reasonable control.

6. Duration and Automatic Renewal

Unless otherwise specified in writing, services will be supplied for the duration stated in the applicable package or agreement.

Certain hosting, domain, maintenance, and subscription services may require a minimum contract period of 12 months. Automatic renewal will apply only where specified in the applicable service terms or renewal arrangement.

Where automatic renewal applies, the service may renew for the selected billing period unless cancelled in accordance with the applicable cancellation terms.

Promotional Offers

Free domains or other promotional services may be offered with eligible packages, subject to availability and the applicable offer conditions.

Unless expressly stated otherwise, promotional benefits apply only during the initial qualifying contract period. Subsequent renewals may be charged at the prevailing standard rate.

The applicable renewal charges and conditions will be communicated through the relevant offer or service documentation.

7. Cancellation of Services

Customers may request cancellation by contacting YITS through the official communication channels provided on our website.

Where a service has a renewal date, cancellation requests should be submitted at least one working day before that date, unless a different period is specified in the applicable agreement or required by law.

A cancellation request will be acknowledged in writing. Where required, we will confirm the effective cancellation date and any remaining obligations.

Unless otherwise agreed, cancellation will take effect at the end of the current paid billing period.

We may suspend or terminate services for material contractual breaches, unlawful activity, security risks, or non-payment, subject to applicable law and any applicable notice requirements.

Nothing in these terms excludes any cancellation or withdrawal rights that cannot legally be waived.

8. Domain Name Registration

Domain registration is subject to availability and the rules of the relevant domain registry and registrar.

8.1 Availability and Registration

We cannot guarantee that a requested domain name will be available or approved for registration.

We are not responsible for unsuccessful registration applications or third-party intellectual property disputes arising from a domain name selected or requested by a customer, except to the extent that liability cannot lawfully be excluded.

Customers are responsible for ensuring that their chosen domain names do not unlawfully infringe third-party rights.

8.2 Domain Management

Following successful registration, the domain will be managed in accordance with the applicable registration period and the relevant registrar’s terms.

Domain registration does not grant ownership of a trademark or any other intellectual property right beyond the rights provided under the applicable registration arrangements.

8.3 Domain Renewal

Where automatic renewal is enabled or agreed, domain names may be renewed for successive registration periods, subject to the registrar’s procedures and applicable charges.

Customers are responsible for keeping contact details accurate, reviewing renewal notices, and ensuring that sufficient funds are available where automatic payment arrangements apply.

Failure to renew a domain on time may result in expiry, suspension, additional restoration charges, or loss of the domain.

8.4 Domain Transfers

Customers may request a transfer to another registrar or hosting provider, subject to the applicable registrar rules, outstanding payments, security requirements, and any lawful restrictions.

The standard domain transfer assistance fee stated in our existing service terms is ₹850 per domain, where applicable. Any revised fee will be communicated before the transfer service is undertaken.

Certain domains may be subject to transfer locks, verification requirements, dispute procedures, or other restrictions imposed by the relevant registrar or registry.

8.5 Domain Disputes

Domain name disputes will be handled in accordance with the policies applicable to the relevant domain extension, registrar, registry, and dispute-resolution authority.

Where a dispute concerns a domain managed through YITS, customers may contact us for appropriate administrative assistance. We cannot override the authority of a domain registry, registrar, or competent dispute-resolution body.

8.6 Temporary Domain Pages

Before a website is launched, or when a domain is not connected to an active website, a temporary page or technical response page may be displayed as part of domain or hosting configuration.

Customers should contact us if they wish to replace a temporary page with their website content.

9. Refund Policy

Unless otherwise stated in the applicable agreement, fees are payable in advance.

Refund eligibility will be determined by the applicable service terms, the nature of the service, the work completed, and applicable law.

  • Cancellation by the customer: Payments are generally non-refundable once services have commenced, except where a refund is expressly agreed or required by law.
  • Cancellation by YITS: Where we discontinue a prepaid service for reasons unrelated to a customer breach, we will assess an appropriate refund for the unused prepaid period, where applicable under the service agreement and law.
  • Temporary suspension: Temporary suspension or interruption does not automatically create a right to a refund.
  • Third-party charges: Domain registration, software licences, and other third-party charges may be non-refundable under the relevant provider’s terms.

Any refund will be assessed individually and processed in accordance with the applicable agreement and legal requirements.

10. Payments and Invoicing

10.1 Payment Obligations

Customers must pay the fees specified in the applicable quotation, invoice, or service agreement.

Payment schedules may include advance payments, milestone payments, recurring charges, or renewal payments, depending on the service.

10.2 Invoices

Invoices may be issued electronically and, where applicable, made available through the relevant customer control panel.

Customers are responsible for reviewing invoices and contacting us promptly if they identify an error or have a billing question.

10.3 Payment Methods and Currency

Unless otherwise agreed, payments are payable in Indian Rupees (INR), together with applicable taxes.

Accepted payment methods will be communicated by YITS or the authorised payment provider.

Customers must use a payment method they are authorised to use. Payment processing through external providers is also subject to their applicable terms and security procedures.

10.4 Failed or Overdue Payments

If a payment fails or remains overdue, we may notify the customer and request settlement of the outstanding amount.

Where permitted by the applicable agreement and law, we may suspend or restrict services until overdue amounts have been paid.

Reasonable recovery costs or administrative charges may apply only where permitted by the applicable agreement and law.

10.5 Price Changes

We may revise service prices or package features by providing reasonable advance notice, normally 30 days where applicable.

Price changes will generally take effect at the next renewal or as otherwise agreed, subject to applicable law and existing contractual commitments.

10.6 Additional Charges

Additional charges may apply for services outside the original package, including reactivation, excess usage, domain transfers, additional storage, custom development, or third-party licences.

Where reasonably practicable, we will communicate additional charges before undertaking the relevant work.

10.7 Payment Authorisation

Customers confirm that they are authorised to use their selected payment method and are responsible for the charges properly incurred under their agreement.

If a payment method belongs to another person or organisation, the necessary authorisation must be obtained before it is used.

10.8 Chargebacks and Payment Disputes

Customers are encouraged to contact us to resolve billing concerns before initiating a payment dispute, where appropriate.

If a payment is reversed or disputed through a bank or payment provider, we may investigate the transaction and take proportionate action permitted by the applicable agreement and law.

Any suspension or recovery action will be subject to applicable consumer protections and legal requirements.

11. Scheduled Maintenance and Service Availability

We provide services with reasonable care and skill, subject to scheduled maintenance, emergency repairs, infrastructure limitations, and third-party dependencies.

Where practicable, planned maintenance will be scheduled to minimise disruption, and customers will be informed when significant interruptions are anticipated.

We may temporarily disable or modify individual features, applications, scripts, or programs when reasonably necessary for security, compatibility, technical upgrades, or system stability.

Where a material change substantially affects an agreed core service and no reasonable alternative is available, the parties will discuss an appropriate solution, which may include an adjustment or refund where required by the agreement or law.

We do not guarantee uninterrupted service availability unless a specific service-level commitment has been agreed in writing.

12. Third-Party Use and Reselling

Services are provided for the purposes agreed with the customer.

If a customer resells, sublicenses, shares, or otherwise makes services available to third parties, the customer is responsible for ensuring that such use is authorised and complies with the applicable service terms and laws.

Customers remain responsible for activities conducted through their accounts, subject to applicable law and the specific circumstances.

Any permitted reseller arrangement may require separate written terms.

13. Usage Limits

Some services may have limits relating to storage, bandwidth, email accounts, processing resources, traffic, or other usage measures.

Customers must comply with the limits stated in their selected package.

Where additional usage charges apply, the applicable rates and conditions will be communicated through the service documentation or quotation.

We may take reasonable steps to protect the stability and security of our systems if usage materially exceeds agreed limits or adversely affects other customers, subject to the applicable agreement and law.

14. Customer Data and Backups

14.1 Ownership of Customer Data

Subject to third-party rights and applicable law, customers retain their rights in content and data they create or upload to our services.

YITS does not claim ownership of customer website content, email content, or other customer materials merely because they are stored on infrastructure managed by us.

14.2 Backups

We may maintain backups for operational continuity, infrastructure recovery, or other service-related purposes, depending on the service provided.

Unless expressly included in the applicable package or agreement, customers remain responsible for maintaining independent and adequate backups of their website files, databases, emails, and other important information.

The existence of infrastructure or archival backups does not guarantee that every file can be recovered or restored.

14.3 Data Recovery

If data loss occurs because of a failure in systems managed by us, we will make reasonable efforts to assist with recovery where technically feasible and within the agreed service scope.

Recovery outcomes may depend on the availability, integrity, and age of the relevant backups.

14.4 Customer Content

Customers are responsible for ensuring that their content and data do not unlawfully infringe third-party rights or violate applicable law.

15. Account Security and Passwords

Customers are responsible for maintaining the confidentiality of their passwords, access credentials, and account recovery information.

We recommend using strong, unique passwords, enabling additional authentication measures where available, and changing compromised credentials promptly.

Customers must notify us if they suspect unauthorised access to their accounts.

We may take reasonable security measures, including restricting access or resetting credentials, to protect accounts and systems.

Responsibility for losses arising from compromised credentials will be assessed in accordance with the circumstances, the applicable agreement, and applicable law.

16. Customer Information and Privacy

Customers must provide accurate and up-to-date contact information and notify us of material changes.

We handle personal information in accordance with our Privacy Policy and applicable data protection laws.

We may use customer contact information to communicate about services, billing, renewals, security, and relevant business updates.

Promotional communications may be opted out of in accordance with our Privacy Policy and applicable law.

We may share information with service providers when reasonably necessary to deliver our services, or disclose it where legally required or otherwise permitted under our Privacy Policy.

17. Disclaimers and Warranties

We will make reasonable efforts to provide services in accordance with the applicable service description and agreement.

However, unless expressly agreed in writing, we do not guarantee that every service will operate without interruption, delay, technical error, or compatibility issue.

Website performance, search engine rankings, third-party software behaviour, and external hosting infrastructure may be affected by factors outside our reasonable control.

Nothing in these terms excludes any express contractual warranty or any consumer right, statutory guarantee, or other protection that cannot legally be excluded.

18. Limitation of Liability

To the extent permitted by applicable law, YITS will not be liable for indirect, incidental, special, or consequential losses arising from the use of our services, including loss of anticipated profits, revenue, business opportunities, or goodwill.

We will not be responsible for losses caused by circumstances outside our reasonable control, unauthorised third-party actions, or customer misuse, except to the extent that we are legally responsible for those losses.

Any agreed financial limitation of liability must be set out in the applicable service agreement and comply with applicable law.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law.

19. Force Majeure

Neither party will be responsible for a failure or delay in performing obligations to the extent caused by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, fires, floods, widespread network failures, major infrastructure disruptions, government restrictions, civil disturbances, or significant failures of third-party service providers.

The affected party will make reasonable efforts to minimise the impact and resume performance when practicable.

This provision does not remove obligations that remain enforceable under applicable law.

20. Non-Waiver

If either party does not immediately enforce a right or provision under these terms, that does not mean the party has permanently waived that right.

Any waiver must be interpreted in accordance with the circumstances and applicable law.

21. Survival After Termination

Provisions that by their nature are intended to continue after termination will remain effective to the extent necessary and legally enforceable.

These may include outstanding payment obligations, confidentiality, intellectual property rights, liability provisions, dispute resolution, and other obligations that remain applicable after a service ends.

22. Notices and Communications

Notices relating to services may be delivered by email or through other communication channels agreed by the parties.

Customers are responsible for maintaining accurate contact information and monitoring communications relating to billing, renewals, security, and service changes.

Where formal notice or a particular delivery method is required by law or the applicable agreement, that requirement will apply.

23. Intellectual Property Rights

YITS retains its rights in its pre-existing intellectual property, including proprietary tools, methods, frameworks, internal processes, and materials developed independently of a customer’s project.

Ownership and usage rights for custom designs, website code, graphics, content, and other project deliverables will be determined by the relevant quotation, project agreement, or other written arrangement.

Third-party themes, plugins, software, fonts, stock images, and other licensed materials remain subject to their respective licence conditions.

Customers must not use YITS’s protected materials without permission, except where such use is expressly authorised or permitted by law.

24. Governing Law and Jurisdiction

These Terms and Conditions will be governed by the laws of India.

Subject to applicable law and the jurisdiction of any competent consumer or other statutory forum, disputes arising from these terms may be brought before the competent courts in Thanjavur, Tamil Nadu.

Nothing in this clause removes any mandatory rights or legal remedies available to a customer under applicable law.

25. Legal Costs

Each party will generally bear its own legal costs unless otherwise agreed or determined by a competent court, tribunal, or other authorised forum.

Any award of legal costs will be governed by applicable law and the decision of the relevant authority.

26. Assignment

Customers may not transfer or assign their rights or obligations under an agreement without our prior written consent, except where the applicable agreement or law permits otherwise.

YITS may transfer its contractual rights or obligations as part of a lawful business restructuring or transfer, provided that applicable contractual obligations and legal requirements are respected.

27. Amendments to These Terms

We may update these Terms and Conditions to reflect changes in our services, business operations, technical requirements, or applicable laws.

Where appropriate, significant changes will be communicated in advance through email, website notices, or other reasonable methods.

Changes will apply as permitted by law and will not automatically override an existing agreement where doing so would be legally ineffective.

Customers are encouraged to review this page periodically.

28. Joint Obligations

Where more than one individual or entity enters into a service agreement as a customer, their respective responsibilities and payment obligations will be determined by the agreement and applicable law.

Joint and several liability will apply only where expressly agreed or otherwise legally established.

29. No Third-Party Beneficiaries

Unless expressly stated in an agreement or required by law, these Terms and Conditions do not create independent contractual rights for third parties.

30. Entire Agreement

These Terms and Conditions, together with the applicable quotation, service agreement, and incorporated policies, constitute the agreement between the parties concerning the relevant services.

They replace prior discussions or understandings concerning the same subject matter to the extent provided by applicable law.

Any project-specific terms expressly agreed in writing will apply according to their terms.

31. Relationship Between the Parties

Nothing in these terms creates a partnership, joint venture, employment relationship, or agency relationship between YITS and the customer unless expressly agreed in writing.

Each party acts independently and remains responsible for its own business and legal obligations.

32. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a competent authority, the remaining provisions will continue to apply to the extent legally permitted.

The affected provision will be interpreted or replaced, where legally appropriate, with a valid provision that most closely reflects the original purpose without overriding mandatory law.
